1. Who we are and what these terms cover

1.1. These Company Terms ("Terms") are an agreement between you and METHMINE LLC, a Wyoming limited liability company (Filing ID 2026-002105261), registered agent address 30 N Gould St Ste N, Sheridan, WY 82801, USA, contact@methmine.com ("Methmine", "we", "us").

1.2. They apply to every Methmine product and service — including Methmail, Methmine VPN and Methmine Browser — together with:

  • the Product Schedule for the product you use;
  • that product's privacy notice or policy (the Privacy Notice);
  • that product's Acceptable Use Policy;
  • for paid plans, the payment and refund terms in the Product Schedule.

1.3. Order of precedence.

  • (a) On any question about personal data — what we collect, keep, disclose or log — the product's Privacy Notice governs. Nothing in these Terms gives us broader rights to collect, use or disclose your data than that Privacy Notice allows.
  • (b) Otherwise, the Product Schedule governs over these Terms for that product, except sections 9–11, 13 and 14, which a Product Schedule may add to but not reduce.
  • (c) These Terms govern everything else.

1.4. By creating an account, installing, or using a product, or by paying for one, you agree to these Terms. If you do not agree, do not use the product.

2. Eligibility

2.1. You must be at least the minimum age set in the Product Schedule and able to form a binding contract.

2.2. You may not use our products if you are on a sanctions list of the United States, the European Union, the United Kingdom or the United Nations, or if providing the product to you would violate sanctions law that applies to us (section 12).

3. Your account

3.1. Keep your credentials safe. If you lose your credentials, we may be unable to recover your data. The Product Schedule says what recovery exists.

3.2. You are responsible for activity under your account, except where it results from our breach of these Terms or of the Privacy Notice.

4. Acceptable use

4.1. You must follow the product's Acceptable Use Policy and the law that applies to you.

4.2. We may warn you, limit features, suspend or close your account for a violation, as the Acceptable Use Policy describes. Where the law or the Acceptable Use Policy allows, we tell you the reason and let you ask for a review.

5. Paid plans

5.1. Prices, billing periods, renewal, cancellation and refunds are set in the Product Schedule.

5.2. Payments may be processed by a third party that acts as merchant of record, such as Stripe's service Link. That party's own terms also apply to the payment.

5.3. Our refund commitments in the Product Schedule are in addition to any rights the law of your country gives you.

6. Your content and our intellectual property

6.1. Your content stays yours. You grant us only the rights needed to store, transmit and display it to you and the people you choose, and to process it only as the product's Privacy Notice describes (for example, spam and malware checks and lawful orders). No other rights are granted. You may withdraw this at any time by deleting the content or your account, subject to the retention periods in the Privacy Notice.

6.2. Our IP. The products, their names and logos — including Methmine™ and Methmail™ — and our software are owned by us or our licensors. Software we publish under an open-source licence is governed by that licence. Otherwise, we grant you a personal, non-exclusive, non-transferable, revocable licence to use the product under these Terms.

6.3. You may not copy, resell or reverse engineer our products except as the law or an open-source licence allows. You may not use our marks in a way that suggests endorsement.

6.4. Feedback. If you send us suggestions, we may use them without obligation to you.

6.5. Copyright complaints. Send them to our designated agent as described on our legal information page. We act on valid notices under 17 U.S.C. § 512.

7. Changes to the products and to these Terms

7.1. Products change. We may add, change or remove features. If we remove a material feature of a paid plan during a paid term, the Product Schedule says what remedy you get.

7.2. We announce changes to these Terms at least 30 days before they take effect: on the website and in the product. If a change makes the terms of your paid plan worse, it applies to you only from your next billing period. If you don't agree, you may cancel and receive a refund for whole unused months. Previous versions stay public (see "Version history"). A change required by law, or one that addresses security, fraud or abuse, may take effect sooner; we still tell you about it.

8. Suspension and termination

8.1. You may stop using a product and close your account at any time, as the Product Schedule describes.

8.2. We may suspend or terminate your access:

  • for a serious or repeated violation of these Terms or the Acceptable Use Policy;
  • where the law requires it;
  • to protect users, third parties or our systems from serious harm;
  • where continuing would expose us or others to material legal risk.

Where reasonable and lawful, we give notice and let you export your data first, unless the suspension concerns fraud, security, a legal order or the preservation of evidence, or the Product Schedule says otherwise.

8.3. If we shut down a product, we give the notice period stated in its Product Schedule.

8.4. We may also end your use of a product for any other reason with at least 30 days' notice. If you paid in advance, we refund the unused part of the paid period.

9. Disclaimer of warranties

9.1. To the fullest extent the law allows, the products are provided "as is" and "as available". We do not warrant that they will be uninterrupted, error-free or secure against every attack. We do not warrant that they will be available in your country or on your network, or give access to any particular service, content or network: availability depends on your country, your provider and network operators.

9.2. Early access, alpha and beta versions are provided without any warranty.

9.3. Nothing in this section limits any statutory guarantee or conformity right you have as a consumer that cannot be excluded by contract, including under the law of the EU, the EEA, the UK or Switzerland.

10. Limitation of liability

10.1. To the fullest extent the law allows:

  • (a) we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data;
  • (b) our total liability for all claims relating to the products is limited to the greater of the amount you paid us for the product in the 12 months before the claim arose and US$50.

10.2. These limits do not apply to liability that cannot be limited by law. This includes, where the applicable law so provides, liability for death or personal injury caused by negligence, for fraud, or for intentional misconduct or gross negligence. It also includes your mandatory consumer rights in your country of residence.

11. Indemnity

11.1. If you use a product in breach of these Terms or the Acceptable Use Policy, or in violation of law or third-party rights, you will compensate us for third-party claims and reasonable costs that result. This applies only to the extent permitted by the law of your country of residence. If you are a consumer in the EU, EEA, UK or Switzerland, it applies only where you acted intentionally or with gross negligence.

12. Export control and sanctions

12.1. Encryption. Our products are designed to use encryption and are subject to U.S. export control law, including the Export Administration Regulations (EAR).

12.2. You may not use, export or re-export our products in violation of the export or sanctions laws that apply to you or to us.

12.3. Sanctions.

  • We comply with the sanctions laws that apply to us.
  • We may restrict, suspend or refuse a product, a payment method or a feature in any country, region or network where we believe that is required by law or necessary to manage legal risk.
  • We do not knowingly provide paid services to persons on a sanctions list or in a comprehensively sanctioned jurisdiction where that is prohibited.
  • Some products — for example communications or privacy tools — may remain available in restricted networks where the law permits it.

13. Governing law

13.1. These Terms are governed by the laws of the State of Wyoming, USA, and applicable U.S. federal law (including the Federal Arbitration Act), without regard to conflict-of-laws rules.

13.2. If you are a consumer residing outside the United States, this choice of law does not deprive you of the protection of the mandatory provisions of the law of your country of residence.

14. Disputes — arbitration and class-action waiver

Please read this section carefully. It affects your rights. It does not apply where section 14.8 says so.

14.1. Talk to us first. Before starting any claim, email contact@methmine.com with a description of the dispute. We'll try to resolve it informally within 30 days.

14.2. Arbitration. If we can't resolve it, you and we agree to resolve any dispute relating to these Terms or the products by binding individual arbitration. The arbitration is administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration may be held by video, by phone, on documents only, or in the county where you live. We pay the AAA fees that its Consumer Fee Schedule assigns to the business.

14.3. Small claims. Either party may bring an individual claim in a small-claims court where it qualifies.

14.4. Intellectual property and urgent relief. Either party may seek injunctive relief in court to protect intellectual property or to stop unauthorised access or misuse of a product.

14.5. Class-action waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding. The arbitrator may award relief only to the individual party. If this waiver is found unenforceable for a claim, that claim proceeds in court, not in arbitration.

14.6. Opt-out. You may opt out of this section 14 within 30 days after you first accept these Terms. Email contact@methmine.com from your account address, or give your account details, with the subject "Arbitration opt-out". Opting out does not affect the rest of these Terms.

14.7. Courts. Disputes not subject to arbitration are heard in the state or federal courts located in Wyoming, unless section 14.8 applies.

14.8. Where this section does not apply. If you are a consumer residing in the European Union, the EEA, the United Kingdom or Switzerland, or in any other country whose law does not allow a consumer to be bound by an arbitration or class-action waiver agreement:

  • sections 14.2–14.7, 14.9 and 14.10 do not apply to you;
  • you may bring proceedings in the courts of your country of residence, and we may bring proceedings against you only there;
  • you keep any right to collective redress your law gives you, including actions by qualified consumer organisations.
  • For the UK: an arbitration clause cannot bind you for claims within the limit set by the Arbitration Act 1996, s. 91.

14.9. Mass arbitration. If 25 or more similar demands are filed against us by the same or coordinated counsel, the AAA Mass Arbitration Supplementary Rules and the AAA's batching procedures apply, as the AAA administers them.

14.10. Time limit. Any claim must be brought within one year after it arises, except where the law that applies to you does not allow this period to be shortened.

15. General

15.1. Notices.

  • To us: contact@methmine.com, or by post to our registered agent at the address in section 1.1.
  • To you: in the product or by email to your account address.

15.2. Assignment. You may not transfer these Terms. We may transfer them to an affiliate or to a successor of the product, with notice to you, if your rights are not reduced.

15.3. Severability. If a provision is unenforceable, the rest remains in effect, and the provision is enforced to the maximum extent permitted.

15.4. No waiver. Not enforcing a provision is not a waiver.

15.5. Force majeure. We are not liable for failures caused by events beyond our reasonable control.

15.6. Entire agreement. These Terms, the Product Schedule, the Privacy Notice and the Acceptable Use Policy are the entire agreement between us about the product.

15.7. Language. The English version is binding. If a translation conflicts with it, the English version prevails, except where the law of your country requires otherwise.

15.8. Trademarks. Methmine™, Methmail™ and Methium™ are trademarks of METHMINE LLC.

15.9. Survival. Sections 6.2–6.5, 9, 10, 11, 13, 14 and 15, and any payment obligation already incurred, survive the end of these Terms. The licence in 6.1 lasts only as long as the retention periods in the Privacy Notice.

15.10. Electronic communications. You agree to receive notices and agreements electronically and that electronic acceptance has the same effect as a signature, as the U.S. E-SIGN Act permits.

15.11. No third-party beneficiaries. These Terms create no rights for anyone other than you and us. Nothing in them creates a partnership, employment or agency relationship.
